These Terms and Conditions ("Terms") govern your access to and use of our website, services, and embedded AI chat plugin (collectively referred to as the "Services").

  • 1. Definitions

    • “Modulon AI”, “we”, “us”, or “our” refers to the entity that owns and operates Modulon AI.
    • “User”, “you”, or “your” refers to any individual or entity accessing or using our Services.
    • “Client” refers to any individual or organization that has an active account or license with Modulon AI to use the chat platform on their own websites.

  • 2. Use of Services

    • You may use the Services only in compliance with these Terms and all applicable laws and regulations. You must not misuse the Services, attempt unauthorized access, or interfere with the system integrity or security.
    • If you are a business embedding the Modulon AI plugin, you are responsible for ensuring that your users are informed of how the chatbot functions, including any data collection involved, in accordance with applicable privacy laws.

  • 3. User Content and Interaction

    • Modulon AI may process content you submit during interactions, such as messages sent via the chatbot. You retain ownership of your content, but you grant us a non-exclusive, royalty-free license to use it solely for the purpose of improving and delivering our Services.
    • We reserve the right to monitor, flag, or remove any content that violates these Terms or is deemed abusive, offensive, or harmful.

  • 4. Prohibited Conduct

      You agree not to:

    • Use the Services for any unlawful, fraudulent, or harmful purpose.
    • Attempt to reverse-engineer, decompile, or extract the underlying models, code, or data from our systems.
    • Introduce malware or other malicious technologies.
    • Use the chatbot for spamming, harassment, or to impersonate others.

  • 5. Data Usage in AI Context Generation

    • To enhance response relevance and provide intelligent, context-aware replies, Modulon AI uses a Retrieval-Augmented Generation (RAG) system. This system retrieves relevant information — including prior messages, user metadata, and organizational data (such as company name, contact details, or user-supplied content) — to create enriched input prompts for AI response generation.
    • In rare cases where third-party LLMs are used as fallback processors (due to infrastructure load, latency issues, or system limitations), the enriched RAG data may be included in the request.

    • We ensure that:

      • We only include the information necessary to generate a meaningful and contextually relevant response.
      • Shared data may include elements that are business-related or personally identifiable, if essential to fulfill the service intent.
      • Although we take reasonable precautions when selecting third-party providers, we cannot guarantee how such external models process or store the information once submitted. These providers operate under their own terms and data handling policies.

  • 6. Fallback AI Processing & Third-Party Usage

    • In certain cases, if Modulon AI's infrastructure is unavailable or limited, we may temporarily route message input to third-party language models (LLMs) to ensure continuity. When this occurs, we only transmit the message input and essential context data (such as company or user information relevant to the interaction).
    • We carefully select these providers and configure them with privacy-preserving settings wherever possible. However, because we do not own or operate these third-party systems, we cannot fully guarantee how they store or process data beyond the scope of our agreements or their published policies.
    • By continuing to use Modulon AI, you acknowledge and accept that limited data may be processed by third-party LLMs under these fallback conditions.

  • 7. Intellectual Property

    • All content, branding, software, and services provided by Modulon AI are the property of Modulon AI or its licensors and are protected by intellectual property laws.
    • You may not copy, reproduce, or distribute any part of our Services without written permission.

  • 8. Availability and Changes

    • We reserve the right to update, suspend, or discontinue any part of the Services at any time, with or without notice.
    • We are not liable for any interruption, delay, or unavailability of the Services.

  • 9. Disclaimer of Warranties

    • The Services are provided “as is” and “as available,” without warranties of any kind, either express or implied. Modulon AI does not guarantee the accuracy, reliability, or availability of responses provided by the AI chatbot.
    • Use of the Services is at your own risk.

  • 10. Limitation of Liability

    • To the fullest extent permitted by law, Modulon AI shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Services.
    • This includes, without limitation, any loss of data, revenue, or business opportunity.

  • 11. Governing Law

    • These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines.
    • Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in Cebu City, Cebu, Philippines.

  • 12. Changes to These Terms

    • We may update these Terms from time to time. The “Last Updated” date at the top will reflect the latest version.
    • Continued use of our Services after changes take effect constitutes your acceptance of the updated Terms.
